Terms of Service

Welcome to SaleZap. These Terms of Service ("Terms") govern your access to and use of the SaleZap platform, website (salezap.ai), APIs, and all related services (collectively, the "Service"). SaleZap is owned and operated by CodeLab Software LLP ("we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

  • You must provide accurate, complete, and up-to-date information when registering.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at support@salezap.ai if you suspect unauthorized access to your account.
  • One person or legal entity may not maintain more than one free account.

3. Permitted Use

You may use the Service solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations, including but not limited to:

  • WhatsApp Business Platform Terms of Service
  • Meta Platform Terms and Developer Policies
  • Shopify Partner Program Agreement and API Terms
  • India's Information Technology Act, 2000 and related rules
  • Applicable data protection and privacy laws
  • TRAI regulations governing commercial communications

4. Prohibited Use

You must NOT use the Service to:

  • Send unsolicited bulk messages (spam) or messages to non-opted-in contacts.
  • Distribute malware, viruses, or any harmful code.
  • Engage in phishing, fraud, or deceptive practices.
  • Violate any applicable law, regulation, or third-party rights.
  • Transmit content that is unlawful, defamatory, obscene, harassing, or threatening.
  • Attempt to gain unauthorized access to SaleZap systems or other users' accounts.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service in a manner that could damage, disable, or impair our infrastructure.
  • Resell, sublicense, or provide the Service to third parties without our written consent.
  • Violate Meta's Platform Terms, WhatsApp Business Policy, or Shopify's Partner Program Agreement.
  • Circumvent or evade enforcement: Use the Service, or any app, page, or account connected to it, to circumvent, evade, bypass, or interfere with any enforcement action, restriction, suspension, ban, or limitation imposed by Meta or any other platform - including creating or maintaining apps, pages, or accounts intended to bypass such measures (Meta Platform Term 7.e.i.3).

5. Platform Compliance & Enforcement

SaleZap and CodeLab Software LLP operate in full compliance with the Meta Platform Terms and Developer Policies. We do not build, operate, or maintain any app, integration, or developer account that is intended to circumvent or bypass Meta's enforcement actions or restrictions placed on other apps or accounts (Meta Platform Term 7.e.i.3). You agree not to use the Service for any such purpose. We cooperate with Meta and other platform providers and will act on lawful enforcement and policy requirements. Violation of this section is grounds for immediate suspension or termination under Section 15.

6. Subscription Plans and Billing

6.1 Plans

SaleZap offers various subscription plans as described on our Pricing page. Plan features and pricing are subject to change with reasonable prior notice.

6.2 Payment

  • Subscription fees are billed in advance on a monthly or annual basis.
  • All fees are exclusive of applicable taxes (GST, etc.), which will be added where required by law.
  • Payments are processed securely via Razorpay or Stripe. By providing payment details, you authorize us to charge the applicable fees.
  • Failed payments may result in suspension of your account until outstanding amounts are settled.

6.3 Refunds

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a service error or billing mistake, contact us within 7 days at support@salezap.ai. We will review requests on a case-by-case basis.

6.4 Free Trial

Where a free trial is offered, it is limited to one trial per business. Once the trial ends, your account will automatically move to the default (free) plan.

You can upgrade to a paid plan at any time to continue accessing premium features.

7. Intellectual Property

7.1 SaleZap IP

The Service, including all software, designs, trademarks, logos, and content created by SaleZap / CodeLab Software LLP, is owned by or licensed to us and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Content

You retain ownership of all content, data, and materials you upload or create within the Service ("Your Content"). By using the Service, you grant SaleZap a limited, non-exclusive, royalty-free license to process and display Your Content solely to provide the Service to you.

8. Third-Party Integrations

The Service integrates with third-party platforms including Meta (WhatsApp, Instagram, Facebook) and Shopify. Your use of these integrations is subject to the respective third-party terms and policies. SaleZap is not responsible for the actions, content, or policies of third-party platforms. We are an independent service provider and are not affiliated with, endorsed by, or sponsored by Meta or Shopify unless explicitly stated.

9. WhatsApp Business API Terms

Use of SaleZap's WhatsApp features requires compliance with WhatsApp's Business Policy and Commerce Policy. You are solely responsible for ensuring that all messages sent through SaleZap comply with these policies. SaleZap reserves the right to suspend accounts that violate WhatsApp's policies to protect the integrity of our platform access.

10. Shopify App Terms

If you use SaleZap through the Shopify App Store, additional terms may apply as governed by Shopify's Partner Program Agreement. SaleZap's Shopify app accesses your store data solely to provide the Service. You may uninstall the app at any time through your Shopify admin panel.

11. Data Privacy & Deletion

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for obtaining all necessary consents from your customers and contacts before processing their data through SaleZap. You may request deletion of your account and associated data at any time as described in our Data Deletion Instructions.

12. Service Availability and SLA

We strive to maintain 99.5% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including third-party platform outages (Meta, Shopify, etc.).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • SALEZAP / CODELAB SOFTWARE LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SALEZAP IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE ERROR-FREE.

15. Indemnification

You agree to indemnify, defend, and hold harmless SaleZap, CodeLab Software LLP, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any third-party rights; or (d) your violation of applicable law.

16. Termination

16.1 By You

You may cancel your account at any time through the account settings or by contacting support@salezap.ai. Cancellation takes effect at the end of your current billing period.

16.2 By SaleZap

We may suspend or terminate your account immediately, without notice, if you: (a) violate these Terms; (b) violate Meta's or Shopify's platform policies; (c) use the Service to circumvent or evade any platform enforcement action (Section 5); (d) engage in fraudulent or illegal activity; or (e) fail to pay outstanding fees.

16.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and Data Deletion Instructions. Provisions that by their nature should survive termination (including Sections 7, 13, 14, 15) shall survive.

17. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Bangalore, India. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice for material changes by email or by posting a notice on the platform. Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms.

19. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CodeLab Software LLP regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
